These Terms of Service ("Terms") govern your access to and use of Porrtl, a software-as-a-service employee portal and team communication platform. By using Porrtl, you agree to these Terms. If you do not agree, do not use Porrtl.
Porrtl is sold to construction companies ("Subscribers"). Two kinds of users access Porrtl:
These Terms apply to both. Some provisions (such as billing) apply only to the Subscriber. Subscribers are responsible for ensuring their end users comply with these Terms.
Accounts are created by an Administrator who invites users by email. You are responsible for keeping your login credentials confidential and for all activity under your account. Do not share your password. Notify us immediately if you believe your account has been compromised.
You must be at least 16 years old to use Porrtl.

We may suspend or terminate accounts that violate these rules.
Porrtl lets you and your colleagues post messages, news, files, photos, and other content ("User Content").
Ownership: As between Porrtl and the Subscriber, the Subscriber (and the individual users employed by them) retain all rights to their User Content. We do not claim ownership of what you post.
License to operate: You grant us a limited, non-exclusive license to store, display, process, and transmit your User Content solely for the purpose of operating and improving Porrtl.
Monitoring by your employer: Porrtl is a workplace tool. Administrators may have access to messages, files, and activity within their workspace. Do not use Porrtl for personal communications you would not want your employer to see.
Porrtl, its software, design, branding, and all associated intellectual property are owned by Porrtl and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use Porrtl during the term of your subscription or employment with a Subscriber. All rights not expressly granted are reserved.
Our Privacy Policy explains what information we collect and how we use it. By using Porrtl, you agree to the practices described in the Privacy Policy.
Porrtl relies on third-party infrastructure providers (listed in our Privacy Policy). We are not responsible for outages, errors, or acts of those providers, though we will work in good faith to maintain service availability.
Porrtl is provided "as is" and "as available" without warranties of any kind, express or implied. We disclaim all warranties including merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not guarantee uninterrupted or error-free service.
To the maximum extent permitted by law, Porrtl and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill arising from your use of Porrtl. Our total liability for any claim arising out of these Terms shall not exceed the amount you paid us in the 12 months before the claim, or USD $100 if you are not a paying Subscriber.
You agree to indemnify and hold harmless Porrtl from any claims, losses, or expenses arising from (a) your violation of these Terms, (b) your User Content, or (c) your misuse of Porrtl.
You may stop using Porrtl at any time. Subscribers may cancel their subscription as described in Section 4.
We may suspend or terminate your access immediately if you materially breach these Terms, if required by law, or if we discontinue the service. Upon termination, your license to use Porrtl ends. Data handling after termination is described in the Privacy Policy.
These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles.
Any dispute arising from or related to these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be brought exclusively in the state or federal courts located in Kings County, New York, and the parties consent to the jurisdiction of those courts.
Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.
We may update these Terms from time to time. When we make material changes, we will notify you through the app and by email at least 30 days before they take effect. Continued use of Porrtl after the effective date constitutes acceptance of the updated Terms.
